1. Acceptance of Terms
These Terms of Use and Disclaimers (“Terms”) govern your access to and use of this website and any related pages, forms, checkout pages, landing pages, or other online properties that link to these Terms, including pages accessible through porterlegalpllc.com and 501confident.com (collectively, the “Site”).
This Site is a personal-brand website for Ann Porter and includes information about two separate businesses:
(a) Porter Legal PLLC, a law firm that provides legal services; and
(b) Ann Porter LLC d/b/a 501(c)onfident, an educational company that offers templates, toolkits, courses, downloads, and related educational resources.
Porter Legal PLLC and Ann Porter LLC are separate entities. Ann Porter LLC is not a law firm and does not provide legal advice or legal services. References to “we,” “us,” or “our” refer to Porter Legal PLLC and Ann Porter LLC together where the context applies to the Site generally, and to the specific entity where the context relates to that entity’s services or products.
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site. We reserve the right to modify these Terms at any time by posting the revised Terms on the Site with an updated Effective Date. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of such changes. You are responsible for reviewing these Terms periodically.
2. Eligibility
The Site is intended for users who are at least eighteen (18) years of age. By using the Site, you represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into these Terms. If you do not meet these requirements, you must not access or use the Site.
3. Separate Businesses
Legal services are offered only by Porter Legal PLLC and only pursuant to a written engagement agreement signed by Porter Legal PLLC and the client.
Educational products, templates, toolkits, courses, downloads, checklists, worksheets, and related resources are offered by Ann Porter LLC d/b/a 501(c)onfident, unless expressly stated otherwise. Ann Porter LLC materials are educational only and do not constitute legal advice, legal services, legal review, or legal representation. Ann Porter LLC materials are general in nature, are not customized to your organization, and are not a substitute for advice from qualified legal, tax, accounting, insurance, fundraising, human resources, or other professionals who can evaluate your organization’s specific facts.
4. No Attorney-Client Relationship
The information provided on the Site is for general informational and educational purposes only and does not constitute legal advice. No attorney-client relationship is formed by accessing or using the Site, including by:
(a) Browsing the Site or reviewing information about Porter Legal PLLC, Ann Porter LLC, or their services, practice areas, or products;
(b) Submitting information through any contact form, intake form, email, or other communication feature on the Site;
(c) Downloading any resource or material from the Site;
(d) Purchasing, downloading, accessing, or using any template, toolkit, course, download, or other educational product;
(e) Subscribing to any newsletter or mailing list; or
(f) Attending any webinar, training, or other educational session.
An attorney-client relationship with Porter Legal PLLC is established only through a written engagement agreement signed by both you and Porter Legal PLLC, and only after Porter Legal PLLC completes its intake and conflict-review process. Ann Porter LLC does not enter into attorney-client relationships.
Do not submit confidential or sensitive information through the Site unless and until an attorney-client relationship with Porter Legal PLLC has been established through a signed engagement agreement. Any information you submit through the Site is not confidential or privileged unless and until such an attorney-client relationship has been established.
Porter Legal PLLC provides legal services exclusively to tax-exempt organizations. Information on the Site is general in nature and may not reflect the most current legal developments. You should not act or refrain from acting based on any information on the Site without seeking appropriate professional advice regarding your specific circumstances.
5. Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
(a) Use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
(b) Use the Site to transmit or procure the sending of any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or similar solicitation;
(c) Impersonate or attempt to impersonate Porter Legal PLLC, Ann Porter LLC, Ann Porter, an employee or contractor, another user, or any other person or entity;
(d) Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or that may harm Porter Legal PLLC, Ann Porter LLC, or users of the Site;
(e) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;
(f) Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any material on the Site;
(g) Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; or
(h) Otherwise attempt to interfere with the proper working of the Site.
6. Contact Forms and Communications
The Site may provide contact forms, intake forms, scheduling tools, or other means for you to communicate with Porter Legal PLLC or Ann Porter LLC. By submitting information through these features:
(a) You acknowledge that such submission does not create an attorney-client relationship;
(b) You understand that any information you submit is not confidential or privileged unless and until an attorney-client relationship with Porter Legal PLLC has been established through a signed engagement agreement;
(c) You consent to being contacted in response to your inquiry using the contact information you provide; and
(d) You represent that any information you provide is accurate and complete.
Neither Porter Legal PLLC nor Ann Porter LLC is under any obligation to respond to any inquiry submitted through the Site.
7. Educational Products and License
Educational products offered by Ann Porter LLC, including templates, toolkits, courses, downloads, checklists, and worksheets, are provided for general educational use. Unless different license terms are provided at the point of purchase, your purchase includes a limited, non-exclusive, non-transferable, revocable license for internal use by one purchasing organization and its staff, board members, and advisors.
You may not:
(a) Reproduce, distribute, publicly display, or publicly perform the materials except for your permitted internal use;
(b) Modify, adapt, or create derivative works for the purpose of resale or redistribution;
(c) Sell, license, rent, lease, sublicense, or otherwise transfer the materials to any third party;
(d) Remove, alter, or obscure any copyright, trademark, or other proprietary notice contained in or on the materials; or
(e) Use the materials to provide services to third-party clients or in any manner that competes with Ann Porter LLC.
Consultants, grant writers, fractional executives, agencies, advisors, and other service providers who wish to use Ann Porter LLC materials with or for clients must contact [email protected] for commercial license information. Ann Porter LLC reserves the right to revoke this license at any time for any reason.
Ann Porter LLC does not review your completed materials, evaluate your organization’s specific facts, or tell you what your organization should do. Any examples, issue spotters, and “when to seek professional help” guidance are general educational tools only.
8. Referral to Porter Legal PLLC
The Site may provide general information about Porter Legal PLLC or invite you to contact Porter Legal PLLC for legal services. Any decision to contact Porter Legal PLLC is separate from any purchase from or use of Ann Porter LLC materials. Purchasing, downloading, using, or communicating about Ann Porter LLC materials does not make you a client of Porter Legal PLLC. Porter Legal PLLC has no obligation to represent any purchaser or user of Ann Porter LLC materials. Representation begins only if Porter Legal PLLC completes its intake, conflict review, and engagement process and both parties sign a written engagement agreement.
9. Third-Party Services and Links
The Site may use, integrate with, or contain links to third-party websites, platforms, services, or applications, including website hosting providers, email marketing platforms, scheduling tools, checkout and payment processors, course platforms, digital download providers, analytics tools, and customer relationship management systems. These third-party services are not under the control of Porter Legal PLLC or Ann Porter LLC, and neither is responsible for the content, privacy policies, terms of use, or practices of any third-party service.
Your use of third-party services is at your own risk and subject to the terms and conditions and privacy policies of those third parties. Neither Porter Legal PLLC nor Ann Porter LLC makes any representations or warranties regarding the availability, accuracy, or reliability of any third-party service. The inclusion of any link or integration does not imply endorsement.
10. Intellectual Property
The Site and its content, including text, graphics, logos, images, audio clips, videos, digital downloads, data compilations, software, templates, toolkits, checklists, worksheets, course materials, and the compilation thereof (collectively, “Content”), are owned by Porter Legal PLLC, Ann Porter LLC, Ann Porter, or their respective licensors, and are protected by United States and international copyright, trademark, and other intellectual property laws.
Porter Legal PLLC owns or controls Content related to its legal services. Ann Porter LLC owns or controls Content related to its educational products, templates, toolkits, courses, and related resources. You may not copy, distribute, modify, sell, sublicense, publish, or use any Content except as expressly permitted by these Terms or by applicable product license terms.
The names, logos, and all related names, logos, product and service names, designs, and slogans of Porter Legal PLLC and Ann Porter LLC d/b/a 501(c)onfident are trademarks of their respective owners. You may not use such marks without prior written permission.
11. Disclaimer of Warranties
THE SITE AND ALL CONTENT, INFORMATION, MATERIALS, TEMPLATES, TOOLKITS, COURSES, DOWNLOADS, CHECKLISTS, RESOURCES, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PORTER LEGAL PLLC, ANN PORTER LLC, AND ANN PORTER DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
NEITHER PORTER LEGAL PLLC NOR ANN PORTER LLC WARRANTS THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
NEITHER PORTER LEGAL PLLC NOR ANN PORTER LLC MAKES ANY WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, OR CURRENTNESS OF ANY CONTENT ON THE SITE. 12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PORTER LEGAL PLLC, ANN PORTER LLC, ANN PORTER, OR THEIR RESPECTIVE PRINCIPALS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
(a) Your access to or use of, or inability to access or use, the Site;
(b) Any conduct or content of any third party on or related to the Site;
(c) Any content, materials, or products obtained from the Site;
(d) Unauthorized access, use, or alteration of your transmissions or content;
(e) Any errors, mistakes, or inaccuracies in the Content or in any educational product;
(f) Any interruption or cessation of transmission to or from the Site;
(g) Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Site by any third party; or
(h) Your use of any third-party services accessed through or linked from the Site.
IN NO EVENT SHALL THE TOTAL LIABILITY OF PORTER LEGAL PLLC, ANN PORTER LLC, OR ANN PORTER FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO THE APPLICABLE ENTITY FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT THE APPLICABLE ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU. Nothing in these Terms limits any obligation that Porter Legal PLLC owes to a client under an applicable engagement agreement or under the rules of professional conduct governing legal services.
13. Indemnification
You agree to defend, indemnify, and hold harmless Porter Legal PLLC, Ann Porter LLC, Ann Porter, and their respective principals, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including but not limited to any use of the Content or any educational product other than as expressly authorized in these Terms or in applicable product license terms.
14. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions, except that any legal engagement with Porter Legal PLLC is governed by the terms of the applicable engagement agreement.
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in the Commonwealth of Virginia. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.
16. Waiver
No waiver by Porter Legal PLLC or Ann Porter LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
17. Jurisdictional Limitations and Disclaimer
Ann Porter is licensed to practice law in the District of Columbia and New York State. The information provided on this website is for general informational and educational purposes only and does not constitute legal advice. Accessing this website, purchasing or using educational products, or contacting Porter Legal PLLC or Ann Porter LLC does not create an attorney-client relationship.
Porter Legal PLLC does not seek to represent clients in any jurisdiction where the content of this website does not comply with applicable laws and bar rules. These Terms, together with the Privacy Policy and any other legal notices or agreements published on the Site, constitute the entire agreement between you, Porter Legal PLLC, and Ann Porter LLC regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. These Terms do not replace or modify any separate engagement agreement with Porter Legal PLLC or any separate product, checkout, or license terms provided by Ann Porter LLC, which govern in the event of a conflict as to their subject matter.
